Terms and Conditions
§1 Scope of Application
These General Terms and Conditions apply to all contracts, deliveries, and services provided by Siliris GmbH to companies holding a valid wholesale license pursuant to §52a AMG. We only supply customers with the appropriate authorization. Diverging terms and conditions of the purchaser shall only apply if they have been accepted by us in writing.
§2 Proof of Authorization
The purchaser is obligated to provide valid proof of a wholesale license pursuant to §52a AMG before the conclusion of the contract. Siliris GmbH reserves the right to reject orders or refuse deliveries if such proof is not provided.
§3 Conclusion of Contract
Our offers are non-binding. A contract is only concluded upon our written order confirmation and issuance of a proforma invoice.
§4 Prices and Payment Terms
- All prices are net in euros, excluding statutory VAT, packaging, and shipping costs, unless otherwise agreed.
- Payments must be made in advance unless otherwise agreed.
- The purchaser bears all bank transfer fees.
§5 Delivery, Transfer of Risk, and Shipping Conditions
- Deliveries are generally made on an “Ex Works” basis (EXW Incoterms 2020) from the warehouse of Siliris GmbH in Siegburg (Germany).
- Responsibility and risk for transport, customs clearance, delay, or loss pass to the purchaser once the goods are made available.
- Siliris GmbH is not liable for seizures, delays, or losses caused by customs authorities.
- Delivery times are non-binding unless expressly agreed otherwise in writing.
§6 Retention of Title
The goods remain the property of Siliris GmbH until full payment has been received.
§7 Returns and Complaints
- The purchaser is obliged to inspect the goods immediately upon arrival. Defects must be reported in writing within 3 working days.
- Returns are only accepted with prior written consent and in accordance with legal provisions.
- Temperature-sensitive products and individually procured or opened pharmaceuticals are excluded from exchange.
§8 Quality and Certification
Siliris GmbH holds a wholesale license pursuant to §52a AMG and a GDP certificate (Good Distribution Practice). We operate strictly in accordance with the applicable regulatory requirements for the storage, handling, and distribution of pharmaceuticals.
§9 Export and International Delivery
- The purchaser is solely responsible for all export and import requirements, permits, licenses, and other documents required for export.
- Compliance with national and international pharmaceutical regulations is the responsibility of the purchaser.
§10 Data Protection
Personal data is processed exclusively for contract fulfillment and handled in accordance with the GDPR.
§11 Jurisdiction and Applicable Law
The place of jurisdiction is Siegburg. German law exclusively applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
§12 Final Provisions
Should individual provisions of these Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.
